Aetrixon provides custom web development, web application design, UI/UX design, and technology consulting services for businesses. The specific scope, deliverables, timeline, and fees for each project will be defined in a separate Statement of Work (SOW) or project agreement between us and the client.

2. Engagement Process

All projects begin with an initial consultation to define requirements. Upon mutual agreement of the project scope and terms, we will provide a written proposal or SOW. Work commences only after the client has approved the proposal and any required deposits have been received.

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Except for this warranty, our services are provided "as is" without any other warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

To the maximum extent permitted by law, Aetrixon LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services or these Terms. Our total liability for any claim shall not exceed the total fees paid by the client for the specific project giving rise to the claim.

9. Indemnification

The client agrees to indemnify, defend, and hold harmless Aetrixon LLC, its officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising out of or in connection with: (a) the client's use of the delivered work product; (b) any materials provided by the client that infringe on third-party rights; or (c) the client's breach of these Terms.

Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, pandemics, power outages, internet service disruptions, or other events that are unforeseeable and unavoidable. The affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact.

11. Termination

Either party may terminate the engagement with written notice as specified in the individual project agreement. In the event of termination, the client will be responsible for payment for all work completed up to the date of termination.

Our collection and use of personal information in connection with our services is governed by our Privacy Policy. By using our services, you acknowledge that you have read and understood our Privacy Policy.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. In the event of any dispute arising under these Terms, the parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue mediation before resorting to litigation. Any legal proceedings shall be conducted in the courts of the State of Wyoming.

14. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
